Position Summary
This role will provide contractual and business guidance and have delegated decision-making authority on both legal and business terms (in compliance with internal policies and procedures) throughout negotiation, PO review, contract review, and management of RFPs for the Healthcare Global Services organization.
The Senior Contract Analyst will conduct pre-bid, post-bid, RFP and contract reviews with associated red-lining and will manage contract negotiations with Customers, negotiating terms and conditions to achieve balanced commercial outcomes, and ensure timely delivery of accurate contract documentation. The position will work closely with the Field Sales, Service, Sales Leadership and Legal to meet internal as well as Customer-dictated deadlines for Healthcare Global Services opportunities.
The Senior Contract Analyst will additionally ensure the proper document revision, storage, and auditing of contracts. The role will require ongoing improvement of the contracting process for both the Customer and the business. Routine audits of the current terms will be required to ensure both operational and administrative criteria are well defined and executed against.
This role will provide guidance on contract terms and conditions, operational feasibility, and risk mitigation, while escalating material risks as well as complex legal matters to STERIS Legal Department Counsel (Corporate Counsel) and other relevant departments when required. The Senior Contract Analyst will,
- Manage the review process to ensure that the correct level of business input and approval is received in a timely manner.
- Provide advice and guidance for business rules and context, partnering with key business process owners (e.g., Finance, Risk, Legal) to ensure that STERIS can execute its objectives.
- Serve as reference for certain pre-approved contract terms and conditions.
- Function as an escalation point within the organization regarding risk management, including escalating issues to Corporate Counsel as needed to ensure appropriate legal risk mitigation on material issues.
We will consider fully remote candidates for this role, with a preference being local to Mentor OH with a hybrid schedule of 3 days in per week.
What You'll Do as a Sr. Contract Analyst
- Review, draft, redline, and negotiate commercial agreements (RFIs/RFPs, MSAs, SOWs, Customer contracts, POs) to align with company standards and playbooks; coordinate with Corporate Counsel and other relevant departments on material non-standard terms (indemnities, liability caps, IP, warranties, data privacy, confidentiality, export controls).
- Prepare, review, analyze, and negotiate complex commercial agreements (e.g., POs, SOWs, etc.) adhering to STERIS legal and business guidelines.
- Analyze contract terms and conditions to aid in making legal and business decisions in consideration of compliance with laws (including, but not limited to, US Federal Acquisition Regulations and comparable laws in Canada) and corporate risk factors.
- Lead or co-lead negotiation with Customers and internal stakeholders; secure required approvals and deliver accurate, final contract documents within internal and Customer timelines.
- Develop and drive adoption of standard operating procedures for proper storing of documentation and leverage metrics to assess business impact and results (i.e., measure cycle time, contract expiration dates, etc.).
- Take a leadership role in providing guidance on all contract matters (RFIs/RFPs, MSAs, SOWs, Customer contracts, POs), to business units or other operational staff, including training for new business unit managers and other employees in contracting practices and procedures.
- Assess contractual, commercial, and operational risk; document risk positions and mitigation strategies; escalate material deviations to Corporate Counsel or management in accordance with governance thresholds.
- Ensure that signed contracts are distributed to all relevant parties to provide contract visibility and awareness, interpretation to support implementation.
- Take leadership role in the preparation, refinement, and adoption of templates, clause libraries, playbooks, SOPs, and training materials. Coach business teams on contracting procedures and best practices.
- Partner with the Legal Department to maintain contractual records and documentation in contracts database.
- Support compliance obligations and ensure contracting practices adhere to applicable company policies and regulatory requirements.
- Track and report operating metrics (e.g., cycle time, renewal/expiration pipeline, deviation rates, escalations); use data to drive continuous improvement in quality, speed, and compliance.
- Collaborate cross-functionally, including with the Sales, Service, Strategic Accounts, Operations, Finance, Insurance and IT Departments as well as Corporate Counsel to ensure contractual commitments are implementable, profitable, and aligned to business strategy.
- Negotiate within pre-approved legal/business parameters; recommend acceptable and non-acceptable terms consistent with playbooks; escalate beyond-threshold items promptly.
The Experience, Skills & Abilities Needed
Required:
- Minimum 2 years of Contract work with demonstrated experience in corporate contract negotiations if holding a Juris Doctorate
OR
- Minimum 6 years of Contract work with demonstrated experience in corporate contract negotiations if holding a Bachelor’s degree.
- Deep understanding of corporate liabilities.
- Excellent contract negotiation skills, with experience in corporate contract negotiations with external Customers or equivalent environment.
- Strong leadership, analytical, and problem-solving skills.
- Excellent organization and time-management skills, accuracy and attention to detail are essential.
- Strong ability to multitask and set priorities to meet competing deadlines for many jobs in various phases of completion.
- Ability to work both independently and as part of a cross-functional team, in a fast-paced environment. Must be a self-starter able to work well under pressure with strict deadlines.
- Excellent computer experience (including database management). Ability to navigate both internal and external data sources to uncover insight and opportunities.
Preferred:
- Experience with government contracting in US and Canada highly preferred but not required.
Other:
- Ability to provide advice and rational and make decisions.
- Ability to develop and present complex materials in a clear, concise and persuasive manner.
- Ability to plan, organize, direct and control projects while exercising high ethical standards and good judgment.
- Ability to define analysis needed and complete work when little direction is provided.
- Excellent analytical, organizational, interpersonal, problem solving, written and verbal communication skills, as well as the ability to apply concepts to practical situations.
- Ability to work independently with minimal supervision, within a team environment and handle multiple assignments.
- Working knowledge of PC applications (Word, Excel, PowerPoint and Outlook).

Pay range for this opportunity is $80,000 - $120,000. This position is eligible for bonus participation.
Minimum pay rates offered will comply with county/city minimums, if higher than range listed. Pay rates are based on a number of factors, including but not limited to local labor market costs, years of relevant experience, education, professional certifications, foreign language fluency, etc.
