Position Summary


Contract Specialists serve key functions within the Legal Department by managing and supporting the contract review and execution process for various types of commercial and corporate agreements in North America. The position reports to the Deputy General Counsel, Healthcare and regularly interacts with representatives from the Healthcare Sales and Service teams, including members of management.

Contract Specialists drive consistency and efficiency by managing the review, negotiation, and execution of agreements, quotations, and proposals involving the supply, distribution, and procurement of products and services, as well as confidentiality, consulting, quality, and pricing agreements. The position also provides contract-related support in other areas, including data privacy, employment, regulatory, and compliance. 


Contract Specialists manage contract life cycles, including execution, extension, renewal, and termination. They ensure adherence to corporate compliance and risk management policies and procedures by working closely with attorneys and business leaders to establish protocols for the review and negotiation of contracts.

This position provides professional legal support services to attorneys in the legal department, other internal departments, business groups, and outside attorneys and advisors. Key responsibilities include establishing and managing a consistent process for the administration of contracts, maintaining a database of Company contracts, providing training on contracts best practices and other relevant topics, and developing self-help tools relating to contracts. 


  1. Establish and manage a consistent process for drafting, modifying, and terminating business agreements.
  2. Draft, analyze, and negotiate template Company business agreements that properly protect the interests of the Company.
  3. Develop best practice-focused improvements in the Company’s contract administration practices by establishing standard work practices, protocols, self-help tools, and efficiency-enhancing policies pertaining to agreement review, generation, execution, and administration. 
  4. Provide training and guidance to business leaders pertaining to significant recurring contract issues and clauses. Consults with legal department attorneys and business leaders regularly in support of important Company opportunities and risk management initiatives.  
  5. Evaluate legal risks relating to corporate agreements and implements training and other measures to reduce risk.
  6. Support projects to include acquisition due diligence, integrations, and divestitures.

  1. Significant decision making and problem solving authority. 
  2. Evaluates corporate risk issues and needs, drafts, and negotiates appropriate form business agreements, and works with Legal Department attorneys to protect the interests of the Company.
  3. Provides input and facilitates solutions for business activities and the Company’s compliance with laws and regulations.
  4. Evaluates risk and liability issues and alternatives and provides recommendations to attorneys within the Legal Department.
  5. Determines requirements for the Company’s compliance with laws and regulations.

Education Degree

  • Associate's Degree

Required Experience

  1. 3-6 years experience working with legal contracts.
  2. Experience in corporate contract negotiations with external Customers or equivalent environment.
  3. Experience managing the creation, negotiation, modification, and termination of business agreements. 
  4. Experience in drafting and/or negotiating commercial agreements

Preferred Experience

  1. Paralegal experience is helpful.
  2. Experience in contract management software platforms, preferable.
  3. Experience developing policies and procedures is helpful.
